Cannabis – Bang Mingo

In 2020-2022, Black Legend Capital acted as a consulting advisor to Bang Mingo, a fully vertically integrated cannabis enterprise, with corporate headquarters in Atwater, California. Bang Mingo has been awarded four cannabis licenses by the State of California, which includes two retail, one manufacturing, and one distribution license. The company plans on operating two fully integrated businesses, one located in Atwater, CA and another in Isleton, CA. Both locations have been approved for complete vertical integration. Once the construction is finalized, Bang Mingo will own more than 25 licenses for the future greenhouse, including those for retail, distribution, manufacturing, nursery, and indoor cultivation.

Media & Fintech – YipTV

In 2020-2022, Black Legend Capital acted as a consulting advisor to YipTV, a premium video streaming platform with a payment and subscription patent, and a fintech media reconciliation patent. The company is the only Hispanic focused OTT (Over-The-Top) company that built a patented cloud-based platform with live TV, VOD, and radio content integrated into one service app. The company achieved the unicorn status in 2021 and is working closely together with Black Legend Capital and other institutional advisors to undertake an IPO and list on the NYSE. Black Legend Capital advises the company on capital structure and business development. The company recently targeted one of the largest multicultural audio platforms in the U.S. and planned to merge with an additional company to create a Hispanic-focused ecosystem, tailored to meet all media, communications and payment needs of the target demographics on one central platform. The CEO Michael Tribolet was the president and co-founder of Vonage and helped grow the company from $0 to $1.1B in revenues and customers from 0 to 3M.

Cannabis – STB International

In 2020-2022, Black Legend Capital acted as M&A consulting advisor to STB International, previously known as ST Brands, in the acquisition of several CBD/Hemp brands and ancillary cannabis companies. STB International uses 100% organically grown hemp CBD besides other plant-based solutions to create, develop, market, and sell unique and proprietary CBD products to various segments of the global consumer market. Black Legend Capital is still working closely together with STB International to help the company succeed with its planned M&A transactions for the upcoming years. The company differentiates its products by developing a synthetic CBD-based sugar intended for distribution throughout Europe by the Novel Food Act. STB International is planning to expand its business in over 22 countries by acquiring domestic and global retail driven THC and CBD companies with strategic value to portfolio.

Cannabis & Consumer Product – Frangiosa Farms

In 2020-2022, Black Legend Capital acted as M&A consulting advisor to Frangiosa Farms, known as Colorado Hemp Honey. Frangiosa Farms is a cannabis consumer product company, manufacturing hemp-infused honey products and hemp-infused pet products in Colorado. The product portfolio targets a broad variety of consumers, from entry level consumers to lifestyle of health and sustainability (LOHAS) consumers. Black Legend Capital worked closely together with Frangiosa Farms, introducing the company to STB International, which is expected to finalize the acquisition in 2022. The company owns assets, including manufacturing equipment and an 8.8-acres farm which are used for beekeeping and growing hemp. Frangiosa Farms currently sells through 2,000 retail locations and 7 distributors. Colorado Hemp Honey won the 2019 Nexty Award Consumers Choice for best new supplement, legitimizing the quality of the company’s products.

Cannabis – Full Scale

In 2019-2022, Black Legend Capital acted as M&A consulting advisor to Full Scale, a vertically integrated packaging, manufacturing, and branding agency for the hemp and cannabis industry, based in Wheat Ridge, CO. The company has a unique business model that provides one-stop-shop solutions for branding, custom packaging, and compliance for hemp/cannabis companies. Full Scale also has a factory in Shanghai, China, and a distribution center in Irvine, CA. Through its own in-house manufacturing and production facility in China, Full Scale manufactures more than 25 child resistant products for more than 200 brands. The company also has more than 350 customers across every legal market in the U.S., and most customers are enrolled in its recurring subscription services.

Cannabis – Infinite CBD

In 2018-2022, Black Legend Capital acted as M&A consulting advisor to Infinite CBD, a vertically integrated manufacturing company headquartered in Colorado. The company is a cannabidiol (CBD) cultivation, extraction and manufacturing company that creates unique high-quality health and wellness products for retail, wholesale, and private label customers. The company extracts and formulates its own terpene profiles. This allows Infinite CBD to have flavors and terpene profiles that are unique in the industry. Infinite CBD’s terpene formulation and NANO/Water soluble technology enable the company to add CBD to anything containing water and to create new and innovative CBD products.

Cannabis – Cookies & Diego Pellicer Worldwide Inc.

In 2021, Black Legend Capital acted as a consulting advisor to Cookies Retail LLC, one of the largest cannabis retail brands in the United States, on the acquisition of part of Diego Pellicer Worldwide Inc.’s licensed marijuana facility in Denver, Colorado. The transaction also included a licensing agreement between the parties. Cookies is one of the most sought-after cannabis brands in the world. The well-known brands and the famous retail stores made Cookies one of the top U.S. brands in the cannabis industry. The company offers over 150 proprietary cannabis varieties in more than 35 retail stores with the most relevant stores making between $100,000 to $200,000 a day, with up to $450,000 a day in his most famous store. Diego Pellicer Worldwide Inc. is a premium cannabis brand and retail development company. They have developed an industry changing and scalable model for cannabis retail, which resulted in double- and triple-digit growth rates.

Consumer Product – Spinning Wheel Brands (SWB)

In 2020-2021, Black Legend Capital acted as a consulting advisor to Spinning Wheel Brands, a plant-based food & beverage company located in Chicago, IL. Black Legend Capital advised Spinning Wheel Brands on capital structure and business development to drive velocity in consumer and trade marketing, make key new hires, update packaging and branding, and to increase inventory production to fulfil current and growing demand. Black Legend Capital advised the company on two leading investment funds for a convertible debt bridge. At the time of the transaction, the company’s products were selected for a unique and exclusive program with UNFI’s internal brokerage group, UNFI Retail Services, which provided access to each retailer’s category review process. Spinning Wheel Brands products have achieved distribution into numerous U.S. retailers, including Kroger, Meijer, Amazon, and Sprouts Farmers Market. The company was rated #1 Food & Beverage company in Illinois by 5,000 America’s Fastest Growing Companies.

Cannabis – Hollyweed

In 2020-2021, Black Legend Capital acted as a consulting advisor on the exit of Hollyweed, a high-grade fully licensed recreational and medical marijuana dispensary based in Los Angeles, CA. The company’s dispensary has gathered over 50,000 customers in its database since 2006. Black Legend Capital was appointed as reference advisor to support the company with the asset sale agreement. Hollyweed works with over 100 brands of qualified products and has a team of cannabis experts dedicated on advising each customer with a curated cannabis experience.

Cannabis – Sedona Naturals

In 2020, Black Legend Capital acted as a consulting advisor to Sedona Naturals, one of Arizona’s producers, extractors, and distributors of hemp-based products. The company has been a significant player for 30 years in the Nutraceutical industry. In 2015, Sedona Naturals was introduced to CBD and quickly decided to start conducting research on the CBD/Hemp Industry. Black Legend Capital assisted in the financing of extraction equipment needed to scale up the production. Sedona developed into a top-level hemp processor/extractor, as well as a top CBD producer of crude and distillate oil.
