Cannabis – Simply Humboldt Organics
In 2018-2020, Black Legend Capital acted as a consulting advisor to Hyperion Solutions and its affiliated companies, which at the time, was a leading integrated bioscience and cannabinoid engineering company based in Arcata, CA. In the same period, Hyperion Solutions and Eel River Organics, LLC consolidated their assets and operations into a new venture. Black Legend Capital was appointed as leading advisor of the transaction. Simply Humboldt Organics, a vertically integrated cannabis company, was established as a result of the asset merger. As a mid-stream operator, Simply Humboldt Organics leveraged its extensive direct partnerships with high quality cultivators to provide top products. These products included their proprietary brand Big Sur, as well as white labeling for several of the dominant brands in the industry. The company created a unique dab style product, using CO2 as the extraction medium. This method was and still is groundbreaking, due to the difficulties of water removal caused by CO2’s polarity.
Cannabis – TRICCAR
In 2019, Black Legend Capital acted as a consulting advisor in the capital structure efforts to a U.S. publicly traded holding company, known as TRICCAR. The Las Vegas based company is vertically integrated in both canna nutraceutical and bioceuticals spaces. TRICCAR makes clinically tested and proven bioceutical products for obesity, diabetic nerve pain, calcium deficiency, hypothyroidism, menopause markets, and holds a formula that showed promise in reversing the effects of ALS (Lou Gehrig’s disease). At the time of the transaction, they were in discussions with Meridian Medical Practice Solutions (which provides practice services for more than 60,000 physicians and chiropractors) to allow doctors and their patients access to TRICCAR products through the physician groups’ websites.
Cannabis – Summit Valley Partners
In 2018-2019, Black Legend Capital acted as a consulting advisor to Summit Valley Partners, a real estate development company that builds high tech, mixed-light greenhouses in Colorado. Black Legend Capital advised Summit Valley Partners on capital structure to complete a four 37,000 SF mixed light greenhouse facilities bringing in $1.1M within the first year. At the time of the transaction, Summit Valley Partners was strategically located in the San Luis Valley, CO, which is a renowned agricultural valley at an elevation of 7,500 feet.
Technology – Drone Guarder
In 2018, Black Legend Capital acted as a consulting advisor to Drone Guarder, an early-stage security and surveillance company publicly traded in the U.S. and headquartered in London. The company developed a cutting-edge proprietary technology that allows drones to recognize if the target is a human being or another creature, and provides the owner with live notifications and streaming. Black Legend Capital advised Drone Guarder on capital structure and business development. At the time of the transaction, the company had two products, “Rescue” and “Intruder”. Due to its cost-efficient production, prices of both products were significantly lower than competitive products in the market, allowing Drone Guarder to penetrate the market.
Cannabis – PharmaGreen Biotech
In 2018, Black Legend Capital acted as a consulting advisor to PharmaGreen Biotech, a cannabis biotechnology company based in Deroche, Canada. PharmaGreen Biotech had an innovative proprietary 62,000 sq. ft eco-friendly, semi-automated tissue culture, clean-room laboratory built on a 25 acres land, located in Deroche, British Colombia. Black Legend Capital advised the company on capital structure and on completing the cannabis biotech complex. At the time of the transaction, the complex was the only cannabis research and production one-stop shop, and the first genomic lab in western Canada.
AgTech Cannabis – Humboldt Industries
In 2018, Black Legend Capital acted as a consulting advisor to Humboldt Industries, a uniquely positioned bio-technology company, supporting the consistent development and large-scale distribution of young plant material. At the time of the transaction, Humboldt focused on the internationally growing, plant-derived drug market, and provided quality products to the emerging cannabis industry. With cutting edge infrastructure and respected brand-power, the unique tissue culturing cultivation process offered the highest quality, and most competitively priced tissue cultures.
Cannabis – True Focus
In 2018, Black Legend Capital acted as a consulting advisor to True Focus, a nutraceutical company based in Santa Barbara, CA. At the time of the transaction, True Focus offered one of the industry’s fastest and most effective products for countering the effect of THC consumption. Black Legend Capital advised the company on capital structure and business development. True Focus targeted a vast amount of cannabis consumers including the novice ones, patients, and recreational users. The company collaborated with industry veterans such as R&B star Snoop Dogg and Hollywood actor Paris Chong. The company was sold in 2019.
Cannabis – CBD (Cannabidiol) Trading Project
In 2017-2018, Black Legend Capital worked on a platform to facilitate the trade of cannabidiol (CBD) oil and isolate from cultivators and extractors to wholesale buyers in the pharmaceuticals, skincare, and food & beverage sectors, among others. Black Legend Capital worked on trades ranging from 440lb to 11,000lb of CBD Isolate, with strong demand from each sector, adding operational value to many of its client companies. With multiple established suppliers, Black Legend Capital created a robust platform to ensure that the product made its way from farm to destination.
Cannabis – Corix Bioscience
In 2017-2018, Black Legend Capital acted as a consulting advisor to Corix Bioscience, a California based company producing CBD and genetics in the cannabis industry. Black Legend Capital advised the company on several acquisitions targets and capital structure. At the time of the transaction, it was one of the few companies that used tissue culture as the main source of propagation. Corix was in contract with some of the world’s largest pharmaceutical companies, and America’s leading health care providers. The company had exclusive domestic and international cultivation and distribution licenses, which got sold with the company to a Canadian buyer.
Technology – Ameritek Ventures
In 2017-2018, Black Legend Capital acted as a consulting advisor to Ameritek Ventures, a fiber optics manufacturing company, publicly traded in the U.S. and headquartered in Las Vegas. Ameritek Ventures manufactures the preforms used to make fiber optics. The company had rapidly gained market share against the single supplier monopolizing the fiber optics preform market, by providing a second sourcing option, reducing risk and price. At the time of the transaction, Ameritek Ventures was in advanced negotiations to supply fiber optic preforms to many companies around the world, including Ericsson.
